1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Addagio Group LLC, a Wyoming limited liability company (“Addagio,” “we,” “us,” or “our”). By accessing or using any of the Addagio websites (addagio.io, book.addagio.io, buy.addagio.io, eat.addagio.io, events.addagio.io, help.addagio.io) or any related services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

Addagio is a direct booking and commerce platform that enables businesses (“Vendors”) to create branded booking pages, accept online reservations, sell products, and manage customer relationships. The Service includes booking page templates, scheduling tools, payment processing integration via Stripe, marketplace listings, and customer management features. Customers (“Bookers”) can discover, compare, and book services or purchase products directly from Vendors through the platform.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service as a Vendor, you represent that you have the authority to bind the business entity you represent.

4. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Vendor Accounts and Marketplace

Vendors may create booking pages, list services and products, set prices, and manage bookings through the platform. Addagio may also create directory listings for businesses using publicly available information (e.g., Google Maps, business registries). Business owners may claim these listings at any time by verifying their identity.

Vendors are solely responsible for: (a) the accuracy of their listings, services, descriptions, pricing, and availability; (b) fulfilling bookings and orders in a timely and professional manner; (c) complying with all applicable laws, regulations, and licensing requirements in their jurisdiction; (d) managing their relationship with Bookers, including cancellations, refunds, and disputes.

6. Pricing and Fees

Addagio offers multiple pricing plans:

Starter (Free): 5% commission per booking, no monthly fee.
Pro: $29/month, 0% commission on all bookings.
Business: $79/month, 0% commission, API access, and white-label features.

Subscription fees are billed monthly in advance via Stripe. Commission fees are deducted from each booking payment before payout. All fees are in US dollars unless otherwise specified. Prices are subject to change with 30 days' written notice. Subscription fees are non-refundable except as required by applicable law.

7. Payments and Payouts

All payment processing is handled by Stripe, Inc. By using the payment features of the Service, you agree to Stripe's Terms of Service and Privacy Policy. Vendor payouts are processed according to the payout schedule set in your Stripe connected account. Addagio is not responsible for delays caused by Stripe or banking institutions.

8. Booker Terms

By making a booking or purchase through Addagio, Bookers enter into a direct transaction with the Vendor. Addagio facilitates the transaction but is not a party to the service agreement between the Vendor and the Booker. Cancellation and refund policies are set by each Vendor and displayed on their booking page. Bookers should review these policies before completing a booking.

9. Intellectual Property

The Addagio platform, including its software, templates, designs, logos, and documentation, is the intellectual property of Addagio Group LLC and is protected by copyright, trademark, and other intellectual property laws. Vendors retain full ownership of their content, including business names, descriptions, images, and customer data. By uploading content to Addagio, you grant us a non-exclusive, worldwide license to display and distribute that content solely for the purpose of operating the Service.

10. Prohibited Conduct

You agree not to:

Use the Service for any unlawful purpose or to promote illegal activities.
Post false, misleading, or fraudulent listings or reviews.
Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
Interfere with or disrupt the Service or servers or networks connected to the Service.
Scrape, harvest, or collect user data without consent.
Use the Service to send unsolicited commercial communications (spam).

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADDAGIO GROUP LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Addagio Group LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

Either party may terminate at any time. You may delete your account through the dashboard settings or by contacting us. We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users. Upon termination, your booking page will be deactivated. Your data will be available for export for 30 days after termination, after which it will be deleted.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming, or remotely at the election of either party.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
